Welcome to Presyakto (“Platform”).

These Terms and Conditions (“Terms”) govern your access to and use of the Presyakto website and online services—whether you are acting as a Buyer, Seller, or visitor.

By registering, accessing, or using our Platform in any capacity, you confirm that you have read, understood, and agree to be bound by these Terms, our  Privacy Policy, and other important platform policies, like the Acceptable Use Policy, Prohibited Listings and Seller Investigation Policy, and Return and Refund Policy. If you do not agree, please do not use Presyakto. 

  1. Introduction

1.1 Presyakto

Presyakto is a Philippine-based online marketplace that operates as a thrift store and auction platform, facilitating the buying and selling of new, slightly used, refurbished, secondhand, vintage, and pre-loved goods between independent Buyers and Sellers. By providing a safe and trusted venue, Presyakto connects community members in discovering unique finds and quality items through both direct sales and competitive bidding.

Marketplace Role

As an intermediary platform, Presyakto provides the technology infrastructure, payment processing services, and dispute resolution support that enable these transactions. Presyakto does not take ownership, possession, or sell products listed by independent Sellers. 

Presyakto only charges commission fees after the Buyer confirms they have received the item, either by signature, electronic confirmation, platform verification, or through an authorized representative. These fees help Presyakto sustain and enhance the essential services that ensure a trustworthy and efficient marketplace for everyone.

Direct Sales

Presyakto may also list and sell its own products directly on the Platform. In these cases, Presyakto assumes full legal responsibility for those products, strictly complying with all applicable Philippine laws and regulations. This includes, but is not limited to, product registration, licensing, accurate product representation, warranties, returns, refunds, tax obligations, and consumer protection requirements.

Seller Ownership

Independent Sellers retain full ownership and responsibility for the products they list and sell. Presyakto acts as a facilitator and enforces platform policies to promote a safe, fair, and trustworthy marketplace.

Legal Compliance and Consumer Protection

Presyakto is committed to protecting your rights as a Buyer or Seller. We operate in full compliance with the Internet Transactions Act of 2023 (Republic Act No. 11967), the Data Privacy Act of 2012 (Republic Act No. 10173), Department of Trade and Industry (DTI) regulations, and other applicable laws. This ensures transparency, availability of consumer redress mechanisms, data protection, and lawful marketplace conduct.

1.2 User Agreement and Acceptance

By accessing or using the Platform, you acknowledge and agree that you:

  • Have read, understood, and agree to be bound by these Terms and all referenced platform policies, including but not limited to the Privacy PolicyAcceptable Use PolicyProhibited Listings and Seller Investigation Policy, and Return and Refund Policy.
  • Provide your explicit consent to the collection, storage, processing, and use of your personal data as described in our Privacy Policy, in accordance with the Philippine Data Privacy Act of 2012.
  • Represent and warrant that you have the legal capacity and authority to enter into this agreement and that your use of the Platform will comply with all applicable laws.
  • If you do not agree with any part of these Terms or the referenced policies, you must not use the Platform.

     2. User Eligibility & Registration

Presyakto requires all users to comply with the following eligibility criteria and registration obligations to maintain the integrity and safety of the Platform.

2.1. Age Requirement

Only persons aged 18 years or older, or who have reached the age of majority as defined by Philippine law, and who have the legal capacity to enter into binding contracts, may create an account on Presyakto. Users may be required to provide valid identification to verify their age.

2.2. Prohibition on Minors

Minors (individuals under 18 years of age) are strictly prohibited from creating an account or accessing the Platform in any capacity, including but not limited to buying, selling, listing products, browsing, or engaging in any business transactions.

2.3. Reporting and Removal of Underage Accounts

Individuals under the age of 18 are not permitted to use the Presyakto platform. If you are a parent or legal guardian and become aware that your child has created an account or provided personal information to Presyakto, please contact us as described in Section 7: Children’s Privacy of our Privacy Policy. Upon receiving such notification, we will take reasonable steps to verify the request and promptly remove the account and related information, unless retention is required by applicable law.

2.3. Account Suspension or Termination

Presyakto reserves the sole rights to suspend, restrict, or terminate any account found to be created in violation of this eligibility policy, with or without prior notice, and without liability. Users may contact Presyakto support to contest such actions.

2.4. Truthful and Updated Information

Users must provide accurate, current, and truthful information during registration and maintain such information throughout their use of the Platform. Providing false or misleading information is prohibited and may lead to account suspension or termination.

2.5. Acceptance of Terms

By registering and creating an account, Users (including Sellers) expressly accept and agree to be bound by these Terms and Conditions and consent to the collection, processing, and use of their personal data as described in the Presyakto Privacy Policy.

2.6. Non-Transferability of Accounts

Accounts are strictly non-transferable. Users shall not sell, assign, or otherwise transfer their account to any third party. Any attempted transfer or sale of an account may result in immediate suspension or termination.

2.7. Verification and KYC

Presyakto may conduct identity verification, Know Your Customer (KYC), or other due diligence procedures during registration or at any time during account use, in compliance with applicable laws and for the purposes of fraud prevention and regulatory compliance. Users agree to cooperate with such verification efforts. Failure to complete verification when required may result in suspension or restriction of account services. All information collected for verification will be processed securely according to the Presyakto Privacy Policy and applicable data protection laws.

2.8. Data Privacy

Users acknowledge and agree that personal data collected during registration and account use will be collected, processed, stored, and protected pursuant to the Presyakto Privacy Policy and in compliance with the Philippine Data Privacy Act of 2012 (RA 10173). Users have the right to access, correct, or request deletion of their personal data as provided therein.

Q1: Who can use Presyakto?

Q4: How are disputes handled?
Buyers and Sellers should first attempt to resolve disputes amicably. If unresolved within 30 days, disputes may be submitted to the competent courts of Cebu City, Philippines.

Q5: Can Presyakto change its Terms and Conditions?
Yes. We reserve the right to amend the Terms at any time. Material changes will be announced via notices on the Platform or email. Continued use after notification means acceptance of the updated Terms.

Q6: How do I stay updated on changes?
It is the User’s responsibility to review the Terms and Conditions regularly to stay informed.

      3. Seller and Buyer Account Registration, Review, and Verification

3.1 Seller Registration and Verification

Sellers must complete the registration process by providing accurate personal and business information and submitting valid identification documents (e.g., government-issued IDs, business permits, licenses) as required by Presyakto.

All Seller accounts are subject to review and verification prior to activation. Verification may include validation of submitted documents and background checks to ensure compliance with legal, regulatory, and platform standards.

All personal and business information and documents submitted during the Seller registration and verification process will be processed securely and confidentially pursuant to the Presyakto Privacy Policy and the Philippine Data Privacy Act of 2012 (RA 10173).

Presyakto reserves the sole right to approve or reject Seller registrations at its discretion. Sellers will be notified of the verification outcome. Sellers whose accounts are not approved are prohibited from listing or selling products on the Platform.

3.2 Buyer Registration

Buyers register by providing accurate personal information, including a valid email address. Email verification is required to activate a Buyer account and is used as a security measure to help prevent fraud.

Buyers are responsible for maintaining the confidentiality of their login credentials and for keeping their account information accurate and up to date.

Presyakto may monitor account activity to detect and prevent fraudulent or suspicious behavior consistent with applicable laws and its Privacy Policy.

3.3 Account Security and Responsibility

Both Sellers and Buyers are responsible for all activities conducted through their accounts. Users are solely responsible for maintaining the confidentiality of their account credentials and for all actions occurring under their accounts unless unauthorized access is reported promptly.

Users must immediately notify Presyakto via support@presyakto.com, if they suspect or become aware of any unauthorized use or security breach involving their accounts.

Presyakto implements reasonable security measures to protect accounts but cannot guarantee absolute security. Users are encouraged to use strong passwords and safeguard their login credentials.

Presyakto reserves the right to suspend, restrict, or terminate accounts if fraudulent, unlawful, or suspicious activity is detected or if information is found to be false or misleading, pending investigation.

     4. Listing and Selling Items

Sellers are solely responsible for the content of their listings, including product descriptions, images, and pricing. By using the Presyakto platform, Sellers agree to abide by the following rules and guidelines regarding the types of items they may list:

4.1 Truthful, Complete, and Accurate Information

Sellers must provide truthful, complete, and accurate information about the items they list, including clear descriptions, authentic photos, and correct pricing. Misleading, false, or exaggerated claims regarding product origin, condition, warranties, or performance are strictly prohibited and may lead to enforcement actions, including removal of listings, suspension, or account termination.

4.2 Compliance with Laws and Prohibited Products

Sellers must ensure that their listings comply with all applicable Philippine laws and regulations, including those regarding illegal, counterfeit, stolen, or otherwise prohibited products. Sellers must also comply with Presyakto’s Prohibited Listings and Seller Investigation Policy. Any product listing that violates these Terms, external law, or platform policies may be removed by Presyakto, and the Seller’s account may be suspended or terminated.

4.3 Fulfillment Obligations

Sellers are responsible for fulfilling their sales obligations in a timely and professional manner. This includes shipping items to Buyers as agreed, providing accurate shipping information and tracking details, and promptly notifying Buyers of any delays, defects, or issues related to the shipment or product.

4.4 Fees and Commissions

Sellers acknowledge and agree to pay all fees, commissions, and charges imposed by Presyakto as outlined in the Fees section of these Terms. Failure to remit fees as required may result in account suspension or withholding of payments.

4.5 Cooperation in Disputes

Sellers agree to cooperate in good faith with Presyakto and Buyers to promptly resolve any disputes arising from sales transactions, including providing requested documentation and communication as necessary during such processes.

4.6 Presyakto’s Direct Sales

In addition to facilitating third-party Seller listings, Presyakto may list and sell its own products directly through the Platform.

4.7 Compliance and Consumer Rights for Direct Sales

All products sold directly by Presyakto comply with applicable Philippine laws and consumer protection regulations. These products are offered with transparent pricing, clear descriptions, and full consumer rights information, including but not limited to warranties, returns, and refunds.

4.8 Distinction of Listings

Listings clearly indicates when products are sold directly by Presyakto to distinguish them from third-party Seller listings.

Presyakto acts as the merchant of record for its own products and bears full responsibility for product quality, safety, compliance, and consumer protection obligations.

     5. Use of the Platform

By accessing or using Presyakto, you acknowledge and agree to the following terms regarding your use of the Platform:

5.1 Limited License

Presyakto grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for lawful purposes and in accordance with these Terms and Conditions.

5.2 Lawful Use & Prohibited Activities

You agree not to use the Platform for unlawful activities, including but not limited to fraud, harassment, infringement of intellectual property rights, violations of consumer protection laws, spamming, phishing, distribution of malware, or unsolicited advertising.

5.3 Compliance with Laws

You agree to comply with all applicable laws and regulations of the Philippines while using the Platform. Additionally, you commit to:

  • Using the Platform as intended, primarily for buying, selling, bidding, and facilitating transactions related to products and services offered within Presyakto’s marketplace.
  • Providing accurate, complete, and truthful information when creating your account, listing products, and communicating with other users.
  • Maintaining the confidentiality of your account credentials and promptly notifying Presyakto of any unauthorized use or security breaches.
  • Respecting the rights and privacy of other users and refraining from harassment, discrimination, or any form of abusive behavior.
  • Not uploading, posting, or transmitting any content that violates our Prohibited Conduct policies or that may harm, disrupt, or interfere with the normal operation of the Platform, including but not limited to fraudulent, defamatory, obscene, threatening, abusive, invasive of privacy, or otherwise objectionable content.
  • Not attempting to gain unauthorized access to any part of the Platform, its systems, or other users’ accounts.
  • Accepting that Presyakto may monitor your activity and content on the Platform to ensure compliance with these Terms, to protect Platform security, and to improve our services, all conducted in accordance with our Privacy Policy and applicable laws.
  • Failure to comply with these obligations or any referenced platform policy may result in enforcement actions, including suspension or termination of your account, as described in the Penalties and Enforcement section. Users are encouraged to regularly review these Terms and all related policies to stay informed of their rights and responsibilities.

Policy Compliance

By accessing and using the Presyakto platform, you agree to comply fully with all applicable platform policies, including but not limited to the:

Each of these policies forms an integral part of the Terms and Conditions and governs specific aspects of your use of the Platform. You are encouraged to carefully review these policies in addition to the Terms. Failure to comply with any of these policies may result in account sanctions or other consequences described therein.

     6. Prohibited Conduct

You agree not to engage in any conduct that:

6.1 Violates any applicable local, national, or international law, regulation, or ordinance.

6.2 Infringes upon the intellectual property rights (including copyrights, trademarks, patents, and trade secrets), privacy rights, or other legal rights of Presyakto, other users, or third parties.

6.3 Is fraudulent, deceptive, misleading, or false, including but not limited to misrepresenting product condition, origin, authenticity, warranties, or terms of sale.

6.4 Involves the listing, selling, or distribution of prohibited products as defined elsewhere in these Terms and in Presyakto’s Prohibited Listings Policy.

6.5 Harasses, abuses, threatens, defames, intimidates, or discriminates against other users or Presyakto personnel, including through hate speech, bullying, or other harmful communications.

6.6 Disrupts or interferes with the normal operation of the Platform, servers, networks, or other users’ access to the Platform.

6.7 Attempts to gain unauthorized access to any part of the Platform, its systems, or other user accounts.

6.8 Uses automated systems, scripts, bots, scrapers, or other data extraction tools to access, monitor, copy, or extract data from the Platform without prior explicit authorization from Presyakto.

6.9 Uploads, transmits, or distributes viruses, malware, spyware, ransom ware, or any other harmful code designed to damage or disrupt the Platform or users’ devices.

6.10 Engages in any other conduct that Presyakto reasonably determines to be harmful to the Platform, its community, goodwill, or reputation.

     7. Penalties and Enforcement

Failure to comply with these Terms and Conditions, including the Prohibited Conduct section, may result in enforcement actions by Presyakto, which may include, but are not limited to, the following:

7.1 Removal or Modification of Content

Presyakto may remove, modify, or disable access to any offending content, listings, or user-generated material without prior notice.

7.2 Suspension or Termination of Accounts

User accounts and access to the Platform may be temporarily suspended or permanently terminated depending on the severity, frequency, and nature of the violation. Suspension or termination may occur immediately or following investigation at Presyakto’s sole discretion.

7.3 Retention and Sharing of Records

Presyakto may retain user information, transaction records, and communications as required by law, and may share such information with law enforcement or regulatory authorities when legally obligated or otherwise necessary to enforce these Terms.

7.4 Legal Action

Presyakto may pursue civil, criminal, or administrative legal action against users who violate applicable laws or cause harm to Presyakto, its users, or its business interests.

7.5 Forfeiture of Payments

Outstanding payments or funds owed to users may be withheld, offset, or forfeited in cases involving fraud, violation of these Terms, or as required by legal judgment or regulatory instruction.

7.6 Contesting Enforcement Actions

Users affected by enforcement actions have the right to contest such actions by submitting a written appeal within [14 days] of notification to Presyakto through the official support channels:

During the appeal process, enforcement actions may remain in effect pending resolution. Presyakto will review appeals in good faith and may uphold, modify, or reverse enforcement decisions.

7.7 Discretion and Non-Waiver

Presyakto reserves sole discretion to determine appropriate enforcement measures based on the circumstances. Failure to immediately enforce any right or penalty under these Terms does not constitute a waiver of Presyakto’s rights to enforce any provision in the future.

     8. Suspension, Restriction, and Termination of Account

8.1 Grounds for Suspension, Restriction, or Termination

Presyakto reserves the right to suspend, restrict, or terminate your account and/or access to the Platform at any time, with or without prior notice, if any of the following occurs:

     You violate any provision of these Terms and Conditions;

     You engage in fraudulent, abusive, or unlawful activity;

     You attempt to interfere with the integrity, security, or proper functioning of the Platform;

     You provide false, misleading, or incomplete information during registration or use of the Platform;

     You fail to comply with applicable laws or regulatory requirements;

     You otherwise breach the obligations set forth in these Terms;

     Your actions are detrimental to Presyakto’s reputation, users, or community;

Presyakto deems suspension or termination necessary for legal, regulatory, or operational reasons.

8.2 Suspension of Accounts

Suspension may be temporary or indefinite and may include restrictions on your ability to access certain Platform features or perform specific actions.

During suspension, you may be partially or fully unable to buy, sell, list products, or use other Platform services.

Presyakto will notify you of suspension decisions where possible, but reserves the right to act without notice in cases of serious or urgent violations.

8.3 Termination of Accounts

Termination results in permanent loss of access to your account and may involve deletion of user data and content associated with the account, subject to applicable data privacy laws and lawful retention obligations as outlined in the Presyakto Privacy Policy.

Presyakto is not liable for any loss of access to data, content, or transaction history due to termination.

Termination initiated by you (the user) is permitted by following the procedures available in your account settings. Such termination does not absolve you from obligations related to ongoing or prior transactions, including payments and dispute resolutions.

Certain user information may be retained by Presyakto as required by Philippine law for tax, legal, or business purposes.

8.4 Effect of Suspension or Termination

You remain responsible for any obligations or liabilities (including payments, shipping commitments, or dispute outcomes) incurred prior to suspension or termination.

Suspension or termination does not limit Presyakto’s right to take legal action or pursue remedies for violations or outstanding obligations.

Presyakto may share information about suspended or terminated accounts with law enforcement or regulatory authorities as required or permitted by law, in compliance with applicable data privacy and confidentiality laws. Such information sharing will be limited to what is necessary for enforcement purposes.

8.5 Right to Contest

Users affected by suspension or termination may contact Presyakto via official support channels to request a review or appeal.

Presyakto reserves sole discretion to uphold, modify, or reverse enforcement actions following a thorough investigation of the circumstances.

     9. Seller Obligations

9.1 Compliance with Laws

Sellers must comply with all applicable Philippine laws, rules, and regulations governing their business, including but not limited to:

     Consumer Act of 1992 (Republic Act No. 7394)

     Internet Transactions Act of 2023 (Republic Act No. 11967), including mandatory business registration and record-keeping requirements

     Anti-Fencing Law (Presidential Decree No. 1612)

     Other relevant laws related to their products and commercial operations.

9.2 Business Registration and Information Accuracy

Sellers are required to register their business as prescribed by law and provide Presyakto with complete, true, and accurate business information, including valid permits and licenses where necessary.

9.3 Product Listing and Description Requirements

Sellers must provide clear, honest, and complete descriptions of their products, including:

The product condition clearly indicated as one of the following:

  • Brand new – never used or opened
  • Slightly used or Like new – minimal signs of use, fully functional
  • Refurbished – restored to good working order with disclosure
  • Used – previously owned and used

Disclosure of any defects, damages, imperfections, or limitations affecting the product’s condition or function

Accurate and specific details on brand, model, specifications, expiration dates, quantity, and packaging

Seller contact information as required by applicable law

Clear, truthful photographs accurately reflecting the current condition of the product

Avoidance of misleading, exaggerated, or false claims regarding origin, warranty, performance, or other product attributes

A warranty that the Seller has full legal ownership and the right to sell the item at the time of listing.

Special Requirements for Beauty & Personal Care (New Only) Listings

For the following product categories: SkincareMakeupHaircareFragrance, and Personal Hygiene, Sellers may only list items that are brand new and unused. All products in these categories must:

  • Be in their original, unopened, and factory-sealed packaging at the time of listing
  • Be unexpired and comply with all applicable labeling and safety standards in the Philippines
  • Include accurate descriptions and photographs showing the sealed condition

Listings of used, unsealed, or previously opened Beauty & Personal Care items are strictly prohibited and may result in removal of the listing or suspension of the Seller’s account.

9.4 Legal Right to Sell and Prohibited Goods

Sellers must have the legal right to sell the items they list. They are strictly prohibited from listing, selling, or trading stolen, counterfeit, or otherwise illegal goods, in accordance with the Anti-Fencing Law and Presyakto’s Prohibited Listings and Seller Investigation Policy. Violation may lead to enforcement actions as outlined in these Terms.

9.5 Consumer Rights and Product Safety

Sellers shall honor all applicable consumer rights under Philippine law, including statutory warranties, product safety standards, and regulations related to returns, refunds, and exchanges.

9.6 Returns, Refunds, and Exchange Policies

Sellers must accept returns, refunds, or exchanges for products that are defective, unsafe, or materially different from their description or advertisement. Policies such as “No Return, No Exchange” or equivalents that contravene Philippine consumer protection laws are prohibited.

9.7 Return and Refund Policy Disclosure
Sellers must clearly disclose their return and refund policies, ensuring these policies are lawful, fair, consistent with Presyakto’s Return and Refund Policy, and compliant with all applicable legislation.

9.8 Cooperation with Investigations

Sellers are required to cooperate fully and promptly, and in good faith, with any investigations initiated by Presyakto, regulatory authorities, or law enforcement concerning complaints about products, suspected stolen items, fraud, or policy violations. Cooperation includes providing all relevant documentation, transaction records, and information as requested.

9.9 Record-Keeping

Sellers must maintain secure, accurate transaction records, communications, and other relevant documents for a minimum of three (3) years. These records must be readily accessible and provided upon lawful request by Presyakto or regulatory bodies.

9.10 Enforcement and Consequences

Failure to comply with these obligations may result in immediate removal of listings, suspension or termination of Seller accounts, withholding of payments, and referral to regulatory or law enforcement agencies.

     10. Buyer Obligations

As a Buyer on the Presyakto platform, you agree to the following responsibilities to ensure a safe, smooth, and lawful transaction experience:

10.1 Accurate Information

Provide complete, true, and up-to-date information when registering, placing orders, and transacting on the Platform. Failure to maintain accurate information may result in delays, account suspension, or other enforcement actions. All personal data is handled according to our Privacy Policy.

10.2 Timely and Authorized Payment

Make timely payments using only authorized and accepted payment methods specified by Presyakto. Unauthorized or fraudulent payment methods, including chargeback fraud, are strictly prohibited and may result in enforcement actions.

10.3 Due Diligence

Carefully review product descriptions, condition classifications, photographs, seller policies, terms, and seller ratings or feedback before making a purchase to ensure the product meets your expectations.

10.4 Lawful Use

Use the Platform solely for lawful purposes and refrain from any fraudulent, deceptive, or malicious behavior, including attempts to manipulate transactions or the marketplace.

10.5 Respectful Communication

Communicate promptly and respectfully with Sellers and Presyakto customer support regarding any inquiries, issues, or transaction matters.

10.6 Compliance with Platform Rules and Laws

Abide by all applicable platform policies, including the Presyakto Return and Refund Policy, Dispute Resolution Policy, and these Terms and Conditions, as well as all relevant laws and regulations.

10.7 Good Faith Participation in Dispute Resolution

Engage in dispute resolution processes in good faith and cooperate fully with Presyakto and Sellers to resolve any transaction-related issues.

10.8 Receipt and Inspection of Goods

Inspect delivered goods promptly upon receipt. Notify the Seller and/or Presyakto customer support immediately upon discovering any defects, damages, discrepancies, or issues.

10.9 Return and Refund Responsibilities

Review and comply with the Presyakto Return and Refund Policy, including adhering to notification deadlines, following proper procedures for initiating returns or refund requests, and bearing any applicable return shipping costs as set out in the policy. Your statutory consumer rights under Philippine law shall also apply.

10.10 Prohibited Activities

Do not disrupt Platform operations, submit fraudulent or false claims, create multiple, cloned, or fake accounts, or engage in any activities undermining the integrity, reliability, or security of the Presyakto marketplace.

10.11 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted through your account. Notify Presyakto immediately if you suspect unauthorized account use.

10.12 Buyer Tax Responsibilities

Buyers purchasing physical goods on Presyakto will pay VAT based on whether the Seller is VAT-registered:

  • If the Seller’s annual gross sales exceed PHP 3,000,000, the Seller must register for VAT and charge 12% VAT on their sales. The Buyer will pay the VAT-inclusive price.
  • Sellers who reach or expect to reach the PHP 3 million threshold are required to register for VAT within 30 days of exceeding the threshold to remain compliant.
  • If the Seller’s annual gross sales are below PHP 3,000,000, the Seller is generally not required to charge VAT, so the Buyer pays only the selling price without VAT.
  • For digital services sold through Presyakto, different VAT rules apply regardless of sales thresholds, and Buyers pay 12% VAT included in the price.

Example: Seller Below PHP 3 Million Threshold

  • Seller A sells a pair of sneakers priced at PHP 1,000 on Presyakto.
  • Seller A’s annual gross sales are below the PHP 3,000,000 VAT registration threshold.
  • Because Seller A is not required to register for VAT, no VAT is charged on the sneaker sale.
  • The Buyer pays only the selling price of PHP 1,000 at checkout.
  • Seller A remains responsible for any applicable percentage taxes but does not collect VAT from the Buyer.

Example: Seller Above PHP 3 Million Threshold

  • Seller B sells a pair of sneakers priced at PHP 1,000 on Presyakto.
  • Seller B’s annual gross sales exceed the PHP 3,000,000 VAT registration threshold.
  • Seller B is required to register for VAT and includes 12% VAT in the sneaker’s selling price.
  • The Buyer pays a VAT-inclusive price of PHP 1,120 (PHP 1,000 + PHP 120 VAT) at checkout.
  • Seller B must remit the collected VAT to the Bureau of Internal Revenue (BIR) in compliance with tax laws.

     11. Marketplace Fees and Commissions

Using Presyakto to list and promote your products on the Platform is free of charge. Sellers incur fees only upon successful sales.

11.1 Commission Charges

Presyakto will deduct a commission from the final sale price of each product sold. Commission fees are charged only after:

  • The item has been delivered and received by the Buyer, as confirmed by the Buyer’s signature, electronic confirmation, platform verification, or an authorized representative designated by the Buyer; or
  • A verification period of (7) calendar days has passed following delivery without any dispute being raised by the Buyer.

Commission charges become final only after delivery confirmation and completion of the dispute period, as outlined in the Presyakto Dispute Resolution PolicyReturn and Refund Policy, and Payment and Payout Terms.

11.2 Commission Calculation

Commission fees are determined based on the seller’s account type:

  • Starter Account (Independent Seller): 3.0% commission
  • Premium Account (Business Seller): 2.5% commission

Commissions are calculated on the final sale price of each transaction, excluding applicable taxes unless otherwise stated. The final sale price refers to the total amount paid by the buyer after any discounts or promotional offers.
Shipping fees are [excluded] from the commission calculation.

Commission rates and structures are subject to review and may be updated from time to time with prior notice to all registered sellers.

11.3 Seller Payment Processing Fees

Sellers are responsible for any payment processing fees charged by third-party providers (e.g., payment gateway fees). These fees vary depending on the payment method and provider and will be deducted from the seller’s payout.

11.4 Seller Payout and Withdrawal Fees

Sellers may incur fees when transferring their earnings from Presyakto to their bank accounts or e-wallets. These withdrawal or payout fees depend on the chosen payout method and the policies of the respective banks or e-wallet providers and will be deducted from the seller’s payout accordingly.

11.5 Fee Deduction and Adjustments

Commission and applicable seller fees will be deducted from Seller payout amounts before disbursement. In the event of returns, refunds, cancellations, or adjustments handled under the Return and Refund Policy or Payment and Payout Terms, fees will be adjusted or refunded accordingly.

11.6 No Upfront or Listing Fees

Sellers are not charged for account creation, product listings, or maintaining an active store on the Platform.

     12. Payment and Payout for Sellers

12.1 Payment Schedule and Frequency

Payments to Sellers for completed and confirmed transactions will be processed on a [weekly/biweekly/monthly] basis (please select your preferred frequency), subject to clearance of funds by payment providers and confirmation that orders have been fulfilled in accordance with platform policies.

12.2 Conditions for Payout

Verification Period and Seller Payout Policy
Once the buyer confirms receipt of the order (either through courier confirmation or by marking the order as “Received”), a 7-calendar-day verification period begins.

During this time, the platform reviews the transaction for any potential disputes, return requests, or refund claims.

If no issue is raised within the verification period, the seller’s payout will be released automatically. Please note that it may take 2–3 additional banking days for the funds to reflect in the seller’s account.

In cases where a dispute or claim is filed, payout release will be temporarily suspended until the matter is resolved.

12.3 Accepted Payout Methods

Sellers must provide valid payout account information such as bank account details or supported e-wallet accounts. Presyakto currently supports the following payout methods:

Local bank transfers (please specify banks supported), other supported e-wallets or payment platforms.

It is the Seller’s responsibility to ensure that payout details are accurate, valid, and kept up to date to avoid payment delays.

12.4 Fees, Chargebacks, and Adjustments

Presyakto reserves the right to deduct from Seller payouts any applicable fees, commissions, penalties, or chargeback’s in accordance with the Seller Agreement and platform policies. Adjustments arising from returns, refunds, cancellations, or disputes will be reflected in subsequent payout cycles.

12.5 Holdbacks and Reserves

To mitigate risks such as fraud, chargeback’s, or returns, Presyakto may withhold or reserve a portion of Seller payouts for a reasonable period, as determined by the platform’s risk management policies. Such holdbacks will be communicated where applicable.

12.6 Tax Compliance and Documentation

Sellers are solely responsible for complying with all applicable tax laws, including registration, withholding, and remittance of taxes related to their sales. Presyakto may provide reports or documentation for tax purposes but does not provide tax advice. Sellers must provide accurate tax and invoicing information per platform requirements.

VAT Threshold Explanation for Sellers:

In the Philippines, Sellers with annual gross sales exceeding PHP 3,000,000 are required to register for VAT and charge 12% VAT on their sales. Sellers with annual gross sales below PHP 3,000,000 are generally not required to charge VAT but may be subject to other tax obligations, such as percentage tax.

Example:

Store A has sales exceeding PHP 3,000,000 annually and must charge 12% VAT. For a sneaker priced at PHP 500, this means an added VAT of PHP 60, so the Buyer pays PHP 560.

A Seller with sales under PHP 3,000,000 does not charge VAT; for the same sneaker, the Buyer pays PHP 500 only.

Sellers are responsible for correctly applying VAT based on their registration status and remitting the appropriate taxes to the Bureau of Internal Revenue.

12.7 Reporting and Statements

Sellers will have access to regular reports and statements detailing transactions, fees, refunds, chargeback’s, and payout amounts via the Seller Dashboard or through direct communications from Presyakto.

12.8 Failure to Maintain Payout Information

If a Seller fails to provide or update valid payout details, Presyakto reserves the right to suspend payout processing until accurate and complete payment information is received.

12.9 Platform’s Discretion and Right to Withhold Payouts

Presyakto reserves the right to withhold or delay Seller payouts under investigation for suspected policy violations, fraud, chargeback’s, or legal/regulatory concerns, until resolution.

12.10 Payout Transfer Fees and Withdrawal Charges

Sellers are responsible for any fees, charges, or commissions imposed by their chosen payout method or financial institution in transferring funds from Presyakto to their accounts. Such fees will be deducted from the Seller’s available balance before payouts are processed. While Presyakto strives to provide clear information on payout fees, Sellers should verify any charges with their financial providers as fees may vary. Sellers are fully responsible for paying any such fees that their bank or payment provider charges when transferring their earnings from Presyakto to their own accounts.

     13. Shipping and Processing Fees

13.1 Shipping Fees

Shipping fees for items purchased through Presyakto are generally borne by the Buyer, unless otherwise explicitly stated and clearly disclosed during checkout — such as promotional campaigns, seller-absorbed shipping, or platform-sponsored shipping offers. The party responsible for paying shipping fees will always be clearly indicated prior to order confirmation to ensure transparency.

13.2 Payment Processing Fees

Payment processing fees, including any surcharges charged by payment providers or gateways (e.g., credit card fees), may be passed on to Sellers, or absorbed by Presyakto depending on the payment method and transaction context. Any such fees will be disclosed to users before payment confirmation.

13.3 Fee Disclosure and Calculation

All applicable shipping fees, payment processing fees, taxes, and other charges will be calculated based on factors such as destination, shipping method, product dimensions or weight, and any active promotions or discounts. These fees and charges will be displayed clearly at checkout.

13.4 Refunds of Shipping and Processing Fees

In cases of returns, refunds, or cancellations, the refundability of shipping and payment processing fees will be governed by the Presyakto Return and Refund Policy. Please refer to that policy for detailed information regarding when and how such fees may be refundable or non-refundable.

13.5 Consistency with Platform UI and Seller Agreements

The shipping and payment fee responsibilities displayed to users during checkout shall correspond exactly with these Terms. Sellers and Buyers agree that any fee arrangements outside these Terms must be transparently communicated and comply with applicable Seller Agreements and platform policies.

13.6 Force Majeure — Shipping and Delivery

Presyakto, Sellers, Buyers, and any carriers or delivery service providers shall not be liable for any failure or delay in shipping, delivery, or receipt of products caused by force majeure events. Such force majeure events include, but are not limited to, natural disasters (e.g., typhoons, floods, earthquakes), pandemics, war, riots, government actions or restrictions, strikes, accidents, transportation or infrastructure disruptions, or any other unforeseeable, unavoidable, and extraordinary events beyond the reasonable control of the affected party.

If a force majeure event occurs, the affected party’s obligations to ship or deliver products shall be suspended for the duration of the event and any reasonable recovery period thereafter.

The risk of loss or damage to the product during shipping remains with the Seller until the product is received by the Buyer, except when the delay or loss is directly attributable to a force majeure event impacting the carrier or delivery services, in which case liability shall be determined in accordance with applicable laws and any specific agreements with the parties involved.

Neither Sellers nor Presyakto shall be held responsible for shipping delays, lost packages, or damages resulting solely from force majeure events.

The affected party shall make reasonable efforts to notify the other parties as soon as practicable of any force majeure event affecting shipping or delivery and cooperate in good faith to mitigate its effects, including exploring alternative shipping arrangements when feasible.

Buyers and Sellers acknowledge that during force majeure events, shipping and delivery timelines may be unpredictable and agree to exercise patience and reasonable flexibility in such situations.

     14. Transactions and Fulfillment

14.1 Order Confirmation

Orders are considered confirmed only after successful payment processing through the Platform’s secure payment gateway or authorized payment providers.

14.2 Seller’s Delivery Obligations

Sellers must clearly specify and disclose delivery terms, estimated timelines, shipping methods, and any applicable costs to Buyers before purchase confirmation. These disclosures shall comply with Philippine laws, platform standards, and industry best practices to ensure transparency and fairness.

14.3 Order Cancellation and Modification

Buyers may request cancellation or modification of an order prior to shipment by notifying the Seller through the Platform’s messaging system or support channels. Sellers are required to acknowledge and respond to such requests promptly, typically within 24 to 48 hours. Once an order has been shipped, cancellations or modifications are no longer possible and shall be handled through the return process as outlined in the Presyakto Return and Refund Policy.

14.4 Reporting Issues and Disputes

The Platform provides accessible mechanisms for both Buyers and Sellers to report complaints regarding delivery delays, non-delivery, defective or damaged products, or other transaction-related concerns. Presyakto will assist in facilitating resolution in good faith but does not guarantee specific outcomes or assume liability for Seller performance or fulfillment.

14.5 Commission Fees

Commission fees and other applicable platform service charges shall be billed to Sellers only after confirmation of order payment by the Buyer and successful completion of the transaction, consistent with the Seller Agreement and Seller Obligations.

14.6 Returns and Refunds

All sales conducted through Presyakto are subject to the Presyakto Return and Refund Policy, which governs procedures, deadlines, eligibility criteria, and responsibilities relating to returns, refunds, and exchanges. Both Buyers and Sellers agree to comply fully with this policy when applicable.

14.7 Final Sale and Non-Returnable Items

Certain product categories—including but not limited to perishable goods, personalized or custom-made items, digital products and software downloads, and items explicitly marked as “final sale” or “non-returnable”—are excluded from returns and refunds except in cases where the product is defective, damaged upon arrival, or materially differs from its description or advertisement. For full details, refer to the Presyakto Return and Refund Policy.

14.8 Buyer Protection and Seller Responsibilities

Presyakto is committed to fostering a transparent and secure marketplace. Sellers must comply with all applicable Philippine laws regarding product quality, warranties, shipping obligations, and consumer protection. Buyers are encouraged to report any transaction issues promptly for timely support and resolution assistance.

14.9 Platform’s Role and Liability Disclaimer

Presyakto acts solely as an intermediary platform facilitating transactions between Buyers and Sellers. The Platform does not guarantee the performance, quality, authenticity, or timely delivery of goods and disclaims all liabilities arising from Seller fulfillment obligations, except as otherwise expressly stated in these Terms and applicable policies.

     15. Dispute Resolution and Platform Compliance

15.1 Platform Role and Dispute Mediation

Presyakto acts solely as an intermediary between Buyers and Sellers and will assist in resolving disputes arising from transactions conducted on the Platform. While we endeavor to mediate disputes in good faith to help both parties reach mutually acceptable resolutions, Presyakto does not guarantee any particular outcome for either party and disclaims responsibility for the performance or results of transactions between users.

15.2 Disputes Involving Returns and Refunds

Disputes related to returns, refunds, or shipping costs will be handled pursuant to the procedures set forth in the Presyakto Return and Refund Policy. Users are strongly encouraged to review that policy for comprehensive guidance on addressing such issues.

15.3 Cooperation and Good Faith

Buyers, Sellers, and Presyakto agree to cooperate honestly and in good faith throughout any dispute resolution process to facilitate fair and efficient outcomes.

15.4 Escalation of Unresolved Disputes

If disputes cannot be resolved internally through mediation or applicable policy procedures, users have the following options to escalate their concerns:

File a formal complaint with the Department of Trade and Industry (DTI) E-Commerce Bureau;

Utilize the national Online Dispute Resolution (ODR) platform established under Philippine law;

Seek legal recourse through the appropriate courts in the Philippines.

15.5 Takedown Requests and Removal of Illegal or Infringing Content

Takedown requests are official notifications requesting the removal of illegal, infringing, or otherwise prohibited content from the Platform. Presyakto will:

Review and act on valid takedown requests within 72 hours of receipt;

Notify Sellers of content removal and require full cooperation with any investigations;

Cooperate fully with regulatory authorities, including the DTI, National Privacy Commission, and law enforcement agencies, complying with lawful orders and court processes;

Take necessary enforcement measures such as removal of listings, account restrictions, suspensions, or terminations to protect users and maintain platform integrity.

15.6 Reporting Violations

Users may report suspected violations, prohibited listings, or other concerns by:

Using the in-platform reporting tools; or

Sending an email to support@presyakto.com

Presyakto encourages prompt reporting to maintain a safe and trustworthy marketplace for all users.

15.7 Privacy and Data Protection

All actions taken under this Section 15, including dispute resolution and related investigations, will comply fully with the Presyakto Privacy Policy and the Data Privacy Act of 2012, ensuring lawful, secure, and confidential handling of all personal information involved.

     16. Limitation of Liability

To the fullest extent permitted by applicable Philippine law, Presyakto, its affiliates, officers, directors, employees, agents, and service providers shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of, or inability to use, the Platform. This includes, without limitation, lost profits, loss of revenue, loss of data, interruption of business, or loss of business opportunities, even if Presyakto has been advised of the possibility of such damages.

Without limiting the foregoing, Presyakto shall not be responsible for:

Any direct or indirect damages arising from your use or inability to use the Platform;

Loss of income, profits, revenue, data, or business opportunities;

Unauthorized access to or alteration of your transmissions or data;

Any conduct, content, or omissions of other users or third parties on the Platform, including Sellers and Buyers;

Transactions, communications, or disputes between users, including Sellers and Buyers, even if Presyakto has been advised of the possibility of such damages.

All services provided by Presyakto are offered on an “as-is” and “as-available” basis. Presyakto expressly disclaims all warranties, whether express or implied, including, but not limited to, warranties of merchantability, fitness for a particular purpose, availability, accuracy, security, and reliability.

For Marketplace Transactions

For transactions between Buyers and independent Sellers, Presyakto acts solely as an intermediary platform and disclaims liability for product defects, non-delivery, or fulfillment issues, except as otherwise required by applicable law.

For Direct Sales by Presyakto

For products sold directly by Presyakto, the platform assumes full legal responsibility as the seller, including all warranties, product safety, and consumer protection obligations mandated by Philippine law.

Liability Cap

Presyakto’s total aggregate liability to any user for any claim related to the Platform shall be limited to the amount of commission fees actually received by Presyakto in the three (3) months immediately preceding the claim concerning the transaction(s) to which the claim relates, except as otherwise expressly required by law.

     17. Statutory Compliance and Platform Legal Obligations

Presyakto fully complies with the Internet Transactions Act of 2023 (Republic Act No. 11967), all related Department of Trade and Industry (DTI) regulations, and all applicable Philippine laws and rules concerning electronic commerce.

In particular, Presyakto commits to the following:

Prompt Removal and Disabling of Prohibited Content: Upon receipt of notice or discovery,

Presyakto acknowledges its legal duty to promptly remove or disable access to any listings or content that are illegal, counterfeit, hazardous, or otherwise prohibited by Philippine law, consistent with the procedures set forth in its Prohibited Listings and Seller Investigation Policy.

Regulatory Compliance: Presyakto acts in accordance with the Internet Transactions Act, including all related DTI rules and regulations, ensuring full compliance with statutory mandates governing e-commerce platforms.

Seller Information Disclosure: The Platform ensures that all seller product information, including item details, prices, and seller contact information, is disclosed transparently and accurately as required by law for consumer protection and marketplace transparency.

Consumer Redress and Dispute Resolution: Presyakto provides accessible, fair, and effective consumer redress and dispute resolution mechanisms that comply with applicable Philippine laws, facilitating resolution of transaction-related issues.

Secure Payment and Platform Safeguards: The Platform implements secure payment methods, including industry-standard encryption protocols such as SSL/TLS, to protect user data and financial transactions. These safeguards comply with applicable Philippine regulations and international best practices to maintain the confidentiality, integrity, and security of information transmitted through the Platform.

Merchant Onboarding and Verification: In alignment with the Internet Transactions Act and its implementing rules, Presyakto requires all online merchants to register properly, submit valid business documents, and maintain accurate records to ensure trustworthy commerce within the Platform.

     18. Prohibited Products

The following items are strictly prohibited from being listed, offered for sale, or sold on Presyakto in compliance with Philippine laws, regulations, and platform policies:

   Illegal drugs, controlled substances, and drug paraphernalia, including narcotics and synthetic drugs as defined under Philippine laws.

  Firearms, ammunition, explosives, fireworks, and related accessories unless the seller holds valid licenses or permits issued by relevant authorities.

  Counterfeit goods, pirated software, unauthorized replicas, and intellectual property-infringing products covered under the Intellectual Property Code of the Philippines.

   Stolen property or items obtained through illegal means, including those violating the Anti-Fencing Law (Presidential Decree No. 1612).

   Hazardous materials, toxic substances, and nuclear wastes not authorized for sale, handling, or disposal under applicable environmental laws (e.g., Republic Act No. 6969).

   Products restricted, banned, or regulated by Philippine government agencies, including but not limited to the Food and Drug Administration (FDA), Bureau of Customs (BOC), and Department of Environment and Natural Resources (DENR).

    Items that incite hate, violence, discrimination, or illegal activities, or that violate public order, morals, or decency.

    Live animals and endangered or protected species regulated under Philippine wildlife laws and international treaties such as CITES.

    Pornographic materials, adult toys and services, and other explicit content prohibited by law or platform policy.

  Agricultural products, food supplements, pharmaceuticals, cosmetics, medical devices, and health products offered without proper regulatory approvals and certifications.

   Any other products Presyakto deems inappropriate, unlawful, unsafe, or in violation of applicable laws and platform standards.

Presyakto reserves the right to remove or disable access to any listings containing prohibited products without prior notice. Violations of this policy may result in account suspension, termination, removal of listings, withholding of payments, and potential referral to regulatory authorities or law enforcement agencies, in line with the Internet Transactions Act of 2023 (RA 11967) and other relevant laws.

If you are unsure whether a product is prohibited or regulated, Users are encouraged to contact Presyakto customer support before listing or offering the item for sale.

     19. Tax, Invoicing, and Recordkeeping

19.1 Tax Compliance

Sellers agree to comply fully with all applicable Philippine tax laws, regulations, and policies. This includes, but is not limited to, obligations concerning Value-Added Tax (VAT), income tax, withholding tax, and other relevant tax requirements. Sellers must register with the Bureau of Internal Revenue (BIR) or other appropriate tax authorities as mandated by law.

19.2 VAT on Marketplace Transactions and Digital Services

In accordance with Republic Act No. 12023 (Value-Added Tax on Digital Services Act) and Bureau of Internal Revenue Revenue Regulations No. 3-2025 and No. 14-2025, transactions facilitated through online marketplaces that involve digital services sold to consumers in the Philippines are subject to a 12% VAT.

Sellers offering goods or services remain individually responsible for ensuring their proper VAT compliance pursuant to these laws and regulations. For digital services, marketplaces may be deemed the supplier and VAT collector when controlling key transaction elements, but sellers must remain aware of their tax registration, invoicing, and reporting duties.

19.3 Invoicing and Electronic Receipts

Sellers are required to issue valid and compliant invoices or receipts for all transactions conducted via the Presyakto platform. These documents must adhere to BIR standards, including the mandates for electronic invoicing as prescribed under Revenue Regulation No. 011-2025 and other relevant issuances. Sellers must provide such invoices or receipts to Buyers upon request and keep copies for their own tax reporting and audit requirements.

19.4 Recordkeeping and Documentation

Sellers must maintain comprehensive, accurate, and organized records of all sales transactions, payments, invoices, receipts, and other related accounting documents in accordance with Philippine tax laws and Presyakto policies. These records must be retained for a minimum of three (3) years or a longer period if otherwise required by law. Sellers shall make these documents available for review or audit by Presyakto or relevant government authorities upon lawful request.

19.5 Consultation and Compliance Responsibility

Sellers are encouraged to consult qualified tax professionals or advisors to properly understand and fulfill their tax obligations. Presyakto assumes no responsibility or liability for any penalties or claims arising from Sellers’ failure to comply with applicable tax laws and regulations.

     20. Intellectual Property

20.1 Platform Content Ownership

All content and materials provided on the Presyakto platform—including but not limited to text, graphics, logos, images, software, designs, audio, and video—are the exclusive property of Presyakto or its licensors, protected under applicable intellectual property laws, including the Intellectual Property Code of the Philippines (Republic Act No. 8293).

20.2 User-Generated Content Ownership and License

User-generated content submitted, posted, or uploaded by Users—including product listings, descriptions, images, reviews, comments, and other materials—remains the sole property of the respective User. By submitting such content, you grant Presyakto a worldwide, non-exclusive, royalty-free, sub licensable, and transferable license to use, reproduce, distribute, display, perform, modify, and create derivative works of your content solely for operating, promoting, and improving the Platform.

20.3 User Warranties

Users represent and warrant that they possess all necessary rights and permissions to submit their content and that such content does not infringe any intellectual property or other rights of third parties.

20.4 Intellectual Property Infringement

Presyakto respects intellectual property rights and enforces them in accordance with applicable laws, including RA 8293.      21. Intellectual Property Policy Overview

21.1 Overview

This Section provides an overview of Presyakto’s commitment to protecting intellectual property rights on the Platform and summarizes the detailed procedures set out in our standalone Intellectual Property Policy.

21.2 User Obligations

Users must respect intellectual property rights and comply with all applicable laws and platform rules prohibiting unauthorized use, distribution, or sale of copyrighted, trademarked, or otherwise protected works.

21.3 Policy Governance

The standalone Intellectual Property Policy governs the process for reporting alleged infringements, addresses takedown and counter-notification procedures, and outlines handling of repeat infringers and other enforcement mechanisms.

     22. Governing Law and Jurisdiction

22.1 Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the Republic of the Philippines.

22.2 Amicable Resolution

Any dispute, claim, or controversy arising out of or relating to your use of the Presyakto platform, or these Terms and Conditions, shall first be subject to amicable resolution through good faith discussions between the parties.

22.3 Submission to Court

If the dispute cannot be resolved amicably within thirty (30) days from the commencement of such discussions, the parties agree to submit the matter exclusively to the competent courts located in Cebu City, Philippines.

22.4 Consent to Jurisdiction

You hereby consent to the exclusive personal jurisdiction and venue of such courts located in Cebu City and waive any objection to venue or the doctrine of inconvenient forum.

22.5 Injunctive Relief

Nothing in this Section 22 shall prevent either party from seeking injunctive, interlocutory, or other equitable relief in any court of competent jurisdiction if necessary to protect its rights or interests.

     23. Amendments or Changes to These Terms

23.1 Presyakto’s Right to Amend

Presyakto reserves the right to modify, update, or amend these Terms and Conditions at any time and at its sole discretion to reflect changes in applicable laws, business practices, platform operations, or other circumstances.

23.2 Notification of Material Changes

When material changes are made to these Terms, Presyakto will notify Users by posting a prominent notice on the Platform, sending an email, or using other reasonable communication channels to ensure awareness.

23.3 Acceptance of Updated Terms

Your continued use of the Platform following notification of such changes constitutes your acceptance of the updated Terms. If you do not agree to any amendments or changes, you must immediately cease using the Platform.
